金融控股公司監理之研究

Abstract

為因應國內銀行業務改革的潮流，我國於2001年7月由總統公佈實施「金融控股公司法」，並從2001年11月起受理金融控股公司的申請，目前已有14家金融公司獲准成立，並紛紛在證券交易所掛牌上市。傳統上，各國金融主管機關係針對個別的金融業務進行監理，但今金融機構跨業經營成為一整體性的金融控股公司 (或金融集團) 後，金融主管如何對其進行監理，將是一種挑戰，為了整個金融市場的安全與穩定，有必要及早籌謀對策，建立完善的金融控股公司監理制度。 各國的金融主管機關正積極努力構建金融控股公司的監理，但由於金融控股公司成立的時間只有短暫的幾年，對其如何監理，各國雖然尚在摸索階段，但相關的法規與規範卻是不斷的推出，這些均是值得我國建立金融控股公司監理制度的參考。因此，本研究將廣為蒐集先進國家及國際金融研究機構有關金融控股公司監理的做法，加以整理、比較、分析，並從中淬取可供我國採用的做法,以作為我國監理金融控股公司的借鏡，進而對強化我國的金融監理制度提出具體的建議。 In order to catch up with the trend of global financial revolution nowadays, the Financial Holding Company Law were born in Taiwan in July 2001. After that, the number of financial holding companies emerged. There are 14 financial holding companies in Taiwan now, and all of these holding companies are listed in TSE. The traditional supervision is applied to individual financial business. This kind of supervision is to be challenged after the establishment of financial holding companies. In order to maintain the safety and stability of the entire financial market, it is necessary to establish a new and sound mechanism of financial supervision. The financial holding companies is just emerging, it, s supervision system is still developing around the world. While developing our own mechanism of financial supervision, it is suggestive to consult on other countries?? experiences. Therefore, this research is going to gather the data of supervising financial holding companies in US, Japan, and the other developed countries in Europe, to make comparisons between these different ways of supervising financial holding companies, to analyze which is suitable for the application in Taiwan, and make our suggestions which can strengthen the supervision of financial holding companies in Taiwan.
