摘要 股份可為數人所共有,但共有股份時應如何行使股東權利,規範上並不明確。共有股份除涉及共有人彼此間權利義務關係,亦與公司營運密切相關。近期發生爭議在於公同共有股份出席股東會性質上屬於管理股權行為抑或是行使股權行為?依照民法規定,管理行為由共有人過半數即可,惟權利行使須得全體共有人同意為之。但全體同意易生僵局,對於股東會開會定足數的滿足有不利影響。更可惜者,司法實務就此爭議見解相當分歧,且未提供令人滿意的論述。本文擬以近期發生之訴訟案件說明繼承時共有股份權利行使之爭議與產生僵局之問題,除評析司法實務見解外,並藉此探討修正現行規定之可行性,協助共有人於共有股份關係下能維護自身權益外,亦能避免僵局產生。
As corporate stocks can be co-owned by individuals, but how they as a whole exercise the rights of stocks is unsolved under the existing body of Taiwan’s corporation law. For example, whether attending shareholders’ meeting should be regarded as managing co-owned stocks could be a legal issue. According to the Taiwan Civil Code, any behaviors of managing stocks should be invalid without co-owners’ majority consent, and there should be a unanimous consent authorizing the behaviors that substantially exercise stocks rights. However, the requirement of unanimous consent can easily result in a deadlock among co-owners, which may have adverse effect on counting attended stocks for the quorum purpose. This issue could be even worse as court opinions diverge. This article is expected to analyze the reasonableness of courts opinions and to provide proposal for future reform.
