Social Impact日期 2024 上傳時間 4-九月-2024 14:42:28 (UTC+8) 摘要 企業在實務面上推行企業永續發展及ESG，目前仍未能發展出最佳實務及達成一致共識的行動。本研究主要聚焦在討論以公司治理與董事會權責的角度，如何協助企業順利推動企業永續發展及ESG。本研究認為在ESG三個要素中，公司治理（G）是企業導入環境（E）及社會（S）等其他兩個要素的推動力，企業永續發展和公司治理不僅是相輔相成的概念，更是影響企業長期競爭力和社會影響力的核心要素。而企業董事會是公司治理最重要的一環，按理可知董事會若對企業永續發展推行採取消極之態度，則企業推行永續發展的效果與效能必定不佳。 基於前述所言，本研究主要目的是在找出普遍適用於企業的一套指導原則與架構，協助企業有效地推動永續發展目標和ESG相關活動，及董事會如何透過公司治理使企業能有效的採行此套指導原則與架構以推行企業永續發展及ESG。
In practice, companies are still struggling to develop best practices and reach consensus on actions to implement sustainability and ESG. The study primarily focuses on how to assist companies in promoting sustainability and ESG from the perspectives of corporate governance and board’s responsibilities. Among the three ESG elements, corporate governance (G) is the driving force for integrating the other two elements, environmental (E) and social (S). Sustainability and corporate governance are not only complementary concepts but also core factors influencing a company's long-term competitiveness and social impact. The board of directors is the most critical component of corporate governance, and it is evident that if the board adopts a passive attitude towards promoting sustainability, the effectiveness and efficiency of these efforts will be compromised. Based on the above, the main objective of this study is to identify a set of general principles and frameworks applicable to companies, assisting them in effectively promoting sustainability goals and ESG-related activities.
