| dc.description.abstract (摘要) | 本文主要係透過對於發行新股、上市、退市及公司債劵等《公司法》上融資制度之探討，分析中華人民共和國自計畫經濟轉換成市場經濟的過程中，以社會主義市場經濟為導向所堅持之國有企業股份制之改造，實與以營利為目的之公司所需之融資制度有諸多扞格之處，因而造成國有企業弊端叢生，中小企業融資困難等諸多問題。並藉由對此次《中華人民共和國公司法》修正草案之考察，探究其對立法、司法及實務所產生之影響。 | en_US |
