摘要 智慧財產權不僅保護了企業的創新成果，亦賦予企業競爭優勢。隨著科技發展，無形資產對於企業價值比重日漸增高，智慧財產權的保護及管理亦應被企業管理者所重視，保持其核心競爭力以及潛在的侵權風險。因此，企業如何建立智財管理制度？從公司治理之角度，又應如何促使公司對於智慧財產權之重視？為本文所欲探討之議題。 論其智慧財產權管理，「智慧財產權」其權源來自於法律，理解權利如何發生，後續又該如何維護、行使，以及侵權救濟等，為企業建立良好的智財創新管理制度之前提要件；而「管理」，則涉及公司內部控制制度的完整度，故本文藉COSO委員會所建構的內部控制理論為基礎，探析智慧財產權管理制度所須考量之要素與目標，期能整合法學與商學角度，一探智財管理之全貌。 公司治理部分，台灣證券交易所及證券櫃檯買賣中心亦於2020年於《上市上櫃公司治理實務守則》增訂相關規定，並將智財管理列為公司治理評鑑之評鑑項目，以鼓勵上市櫃公司建立智財管理制度。惟其以明文定於相關公司治理法制下能否確實增加公開發行公司之重視程度，或僅流於形式作業徒增公司負擔，本文認為仍有進一步探討的空間。此外，近年來全球掀起ESG（環境、社會與治理）議題之浪潮，也對公司治理產生了深遠影響。隨著聯合國2015永續發展議程的推動，WIPO亦積極倡導智慧財產權與永續發展之連結，欲使社會認識智慧財產權在推動企業永續發展中的潛在價值。基此，本文最終也探討了智慧財產權與ESG之間的交錯關係，並對未來智慧財產權管理在ESG背景下的發展方向提出展望與建議。

dc.description.abstract (摘要) 智慧財產權不僅保護了企業的創新成果，亦賦予企業競爭優勢。隨著科技發展，無形資產對於企業價值比重日漸增高，智慧財產權的保護及管理亦應被企業管理者所重視，保持其核心競爭力以及潛在的侵權風險。因此，企業如何建立智財管理制度？從公司治理之角度，又應如何促使公司對於智慧財產權之重視？為本文所欲探討之議題。 論其智慧財產權管理，「智慧財產權」其權源來自於法律，理解權利如何發生，後續又該如何維護、行使，以及侵權救濟等，為企業建立良好的智財創新管理制度之前提要件；而「管理」，則涉及公司內部控制制度的完整度，故本文藉COSO委員會所建構的內部控制理論為基礎，探析智慧財產權管理制度所須考量之要素與目標，期能整合法學與商學角度，一探智財管理之全貌。 公司治理部分，台灣證券交易所及證券櫃檯買賣中心亦於2020年於《上市上櫃公司治理實務守則》增訂相關規定，並將智財管理列為公司治理評鑑之評鑑項目，以鼓勵上市櫃公司建立智財管理制度。惟其以明文定於相關公司治理法制下能否確實增加公開發行公司之重視程度，或僅流於形式作業徒增公司負擔，本文認為仍有進一步探討的空間。此外，近年來全球掀起ESG（環境、社會與治理）議題之浪潮，也對公司治理產生了深遠影響。隨著聯合國2015永續發展議程的推動，WIPO亦積極倡導智慧財產權與永續發展之連結，欲使社會認識智慧財產權在推動企業永續發展中的潛在價值。基此，本文最終也探討了智慧財產權與ESG之間的交錯關係，並對未來智慧財產權管理在ESG背景下的發展方向提出展望與建議。zh_TW
