| dc.description.abstract (摘要) | 這份計畫試圖探討生產、金融以及規範三個層次全球化對台灣上市櫃企業公司治理的影響。這份研究關切三組問題。首先,台灣廠商在生產全球化所帶來的規模擴大以及生產的分散,是否產生新的治理需求,進而產生類似金融化的治理型態。其次,外資投資法人進入台灣股市後是否對台灣公司治理產生影響。最後,專業團體以及證劵市場監理機構透過引入國外盛行的規範提升國內公司治理的企圖,是否真能驅使企業採行新的公司治理做法。這份研究計畫中公司治理包含公司金融、治理結構以及公司重構三個面向。這份計劃計畫採用量化分析、深度訪談以及文獻檔案收集等多重方法,檢視這三股力量是否以及如何影響企業公司治理的實踐。這份研究特別關注不同類型企業對應這三股結構性力量的不同方式,以及企業是否產生規範外的公司治理規範以及實踐。 | |
| dc.description.abstract (摘要) | The purpose of this project is to study the impact of three levels of globalization—production, financial and
norm—on the practices of corporate governance of Taiwanese listed firms. This project has three major
questions. First, whether Taiwanese firms’ rapid expansion and relocation of production site due to
globalization generate new need for corporate governance and the resulting new practice. Second, whether
the rising shares held by foreign institutional investors have impact on corporate governance. Finally,
whether the new rules brought by regulators and professionals can truly shape the governance structures. In
this project I use multiple methods including quantitative analysis, interview and collection of documents to
discern how the three structural forces shape corporate governance. I especially pay attention to the different
ways of dealing these structural forces and whether corporations find unexpected way to cope with the new
norms. | |
