| dc.description.abstract (摘要) | 面對高齡化社會以及公司敵意併購以往為盛之今日,我國上市櫃公司採用員工持股信託的情況越漸普遍。目前實務運作中,員工持股信託的運用核心在持股會委員與代表人,作為信託架構中的委託人與受益人的員工會員,以及受託人的金融機構則權利相對有限,持股會委員與代表人實際上決定信託財產之管理與運用,但其法律責任為何,十分不明確,可能使公司經營者可以利用員工與公司的資源,作為強化自己權位與利益之工具,喪失員工持股信託設置之目的。本計畫擬進一步研究,能否從持股會委員行為準則擬定與責任之明確、資訊揭露,以及會員依照持股比例行使表決權等方面,提出完善相關制度之規範建議。 | |
| dc.description.abstract (摘要) | Under the Employee Stock Ownership Trust, the trust is established between the employee/participant/beneficiary and the trustee. In reality, the operation of the trust is dominated by the representatives elected by the participants that are usually the corporate officer or directors. While the duty ad code of conduct of such representatives remain unclear, the Employee Stock Ownership Trust is likely to become the tool for the corporate insiders for their own interests.This project tries to propose policy and rule-making suggestions in order to control the risks of misuse of the Employee Stock Ownership Trust. | |
