| dc.description.abstract (摘要) | 傳統電子產業,特別是顯示器與面板製造業,正因面臨中國與韓國廠商在價格、產能與新技術上的激烈競爭,使其營運模式極需轉型。A公司為此訂立了「雙軸轉型」(Go Premium & Go Vertical)策略,旨在透過技術升級(Go Premium)與深耕垂直場域(Go Vertical)來創造高附加價值。本次對德國 B公司的併購案,即是A公司在「Go Vertical」轉型中,於車用電子領域最關鍵的策略佈局之一。
本研究之目的,旨在透過個案分析深入探討A公司此次併購案的核心策略動機,並檢視其對公司轉型所產生之實質影響。首先,研究將檢視此併購案如何促進A公司在車用顯示器與智慧座艙解決方案的完整佈局,以及德國B公司在人機介面(HMI)與系統整合上的技術專業能力如何有效彌補A公司作為二級(Tier 2)供應商的不足。其次,本研究亦關注雙方整合後可能產生的綜效與競爭優勢,包括供應鏈地位從Tier 2晉升Tier 1、營運模式從元件製造商轉型為系統解決方案提供者。最後,本研究將檢視此併購案對A公司的財務結構與產業競爭地位所產生之實質影響,並進一步比較其與以往併購策略的異同,以提供傳統製造業轉型與併購策略的實證參考。 | zh_TW |
| dc.description.abstract (摘要) | The traditional electronics industry, particularly the display and panel manufacturing sector, is facing critical operational transformation due to fierce competition in pricing, capacity, and new technologies from Chinese and Korean manufacturers. To address this challenge, Company A has established a "Dual Transformation" (Go Premium & Go Vertical) strategy, aiming to create high added value through technological upgrading (Go Premium) and deep cultivation of vertical domains (Go Vertical). The acquisition of Company B in Germany is one of Company A's most crucial strategic deployments in the automotive electronics field as part of its "Go Vertical" transformation.
The primary objective of this study is to conduct an in-depth case analysis to explore the core strategic motives behind Company A's acquisition and examine the substantive impact generated on the company's transformation. Firstly, the research investigates how this M&A facilitates Company A's comprehensive layout in automotive displays and smart cockpit solutions, and how Company B's technical expertise in Human-Machine Interface (HMI) and system integration effectively compensates for Company A's limitations as a Tier 2 supplier. Secondly, the study focuses on the potential synergies and competitive advantages resulting from the integration, including the upgrade of the supply chain status from Tier 2 to Tier 1, and the transformation of the operational model from a component manufacturer to a system solution provider. Finally, the research examines the tangible impact of the acquisition on Company A's financial structure and industry competitive position, and further compares it with its past M&A strategies to offer empirical references for the transformation and M&A strategies of traditional manufacturing industries. | en_US |
