題名 The Impact of Emerging Market Enterprises' CSR Performance on Cross-Border Acquisitions

摘要 Acquisition completion in cross-border mergers and acquisitions depends not only on economic fundamentals but also on how acquirers signal their quality and credibility to target firms. Corporate social responsibility (CSR) is widely viewed as a signal of firm quality, but its effectiveness can be highly context dependent. However, cross-border deals often fail to reach completion: overall failure rates are around 18%, and for firms from emerging markets the rate can be as high as 32%. Drawing on signal consistency theory, we argue that the signaling value of CSR is contingent upon its alignment with other acquirer characteristics. Analyzing cross-border acquisitions by Chinese listed firms from between 2011 to 2019, we find that CSR significantly increases the likelihood of deal completion. This effect is amplified when CSR is consistent with other firm strategic signals, such as higher levels of internationalization and greater female representation on the board. However, the effect is attenuated for state-owned enterprise, where the authenticity of CSR initiatives is more frequently scrutinized.
