| dc.description.abstract (摘要) | 為因應我國加入世界貿易組織（WTO）後面臨國外金融集團之競爭壓力， 並提高金融經濟規模、發揮金融經營之綜合效能，「金融控股公司法」於民國九 十年六月二十七日經立法通過，並於同年十一月一日施行。 金控法實施後，截至目前，台灣已有十四家金控公司出現，這部新的金控 法如何適用於這些剛轉型成立之龐大金融集團，引發筆者研究的動機。由於金 控法實施成效，關係到我國金融業之穩定與經濟發展（因為金融為葉，產業為 根），因此有必要對其所衍生之相關問題在法制方面，做一徹底研究。本計畫預 計對下列問題加以探討： （一）金控公司之風險管理架構應該如何建立。 （二）共同行銷之規範，如何與相關法律配合。 （三）如何強化金融控股公司之經營責任。 （四）金控公司對於金融監理之影響與挑戰，在法制方面上應如何加以應對？ 合併監理如何進一步加以完善，以提昇監理效能？ （五）金融控股公司之子公司持有母公司之股份是否享有股東之權益（如，表 決權？盈餘分派請求權？）。 | - |
