題名 委託書爭奪戰,經營權變動對股東財富之影響

摘要 公司法規定股東會必須半數以上股東出席,那麼上市公司欲召開股東會就必須設法湊足半數以上股權。湊不足的,只有收購股票和收購委託書兩種方法,而收購委託書是台灣地區最常使用也是成本最低的一種方法,委託書在台灣已成為經營權之爭的常見的工具之一。所以本篇研究希望透過委託書爭奪和經營權異動來探討兩者對於投資人的影響,希望能藉此研究提供給投資人正確的觀念。
